Sale of BiznesPartner.pl SA shares


WARSAW, Poland – December 22, 2006 – Netia SA (“Netia”) (WSE: NET), Poland’s largest alternative provider of fixed-line telecommunications services, today announced that on December 21, 2006 Netia’s subsidiary Pro Futuro SA with its seat in Warsaw (“Pro Futuro”) transferred to Mr. Ernst Seibold, Nuremberg, Germany (the “Buyer”), ownership of 1,600 registered shares of BiznesPartner.pl SA with its seat in Warsaw (“BiznesPartner”), with total nominal value PLN 1,600,000, representing 30.77% of the share capital and authorizing their holder to exercise 30.77 of votes at the shareholders’ meeting of BiznesPartner.

The shares have been sold based on a share sale agreement dated December 18, 2006 (“Agreement”) for the total price of PLN 160. The above shares represented all shares of BiznesPartner owned by Pro Futuro. Prior to its acquisition by Netia on July 4, 2006 (see Netia’s press release dated July 5, 2006), Pro Futuro’s previous Management had written down its investment in BiznesPartner to zero. BiznesPartner has not conducted any operating activity during 2006, has net liabilities and does not conduct telecommunications activities.

Neither Netia nor its managing or supervisory board members have relations with the Buyer.
