Information regarding the sale of Netia’s shares


WARSAW, Poland – February 9, 2007 – Netia SA (“Netia”) (WSE: NET), Poland’s largest alternative provider of fixed-line telecommunications services, today announced that it received a notification from Pioneer Pekao Investment Management SA (the “Shareholder”, “PPIM”) that its ownership of Netia’s shares, held by the Shareholder on behalf of all of its clients as well as the investment funds in particular, decreased below the threshold of 5% of the total number of votes at Netia’s general meeting of shareholders.

I.
According to the notification, as a result of the sale of Netia’s shares on February 6, 2007, PPIM’s clients jointly hold 19,404,774 of Netia’s shares, representing 4.99% of the Netia’s share capital and entitling the holder thereof to exercise 19,404,774 votes, which represents 4.99% of the total number of votes at Netia’s general shareholders’ meeting.

Prior to this transaction, PPIM’s clients held 20,296,005 of Netia’s shares, which represented 5.22% of the Netia’s share capital and entitled to 20,296,005 votes representing 5.22% of the total number of votes in Netia.

II.
According to the notification, as a result of the sale of Netia’s shares on February 6, 2007, the following investment funds:

1. Pioneer Akcji Polskich Fundusz Inwestycyjny Otwarty
2. Pioneer Dochodu Mix 20 Fundusz Inwestycyjny Otwarty
3. Pioneer Wzrostu i Dochodu Mix 40 Fundusz Inwestycyjny Otwarty
4. Pioneer Wzrostu Mix 60 Fundusz Inwestycyjny Otwarty
5. Pioneer Stabilnego Wzrostu Fundusz Inwestycyjny Otwarty
6. Pioneer Zrównoważony Fundusz Inwestycyjny Otwarty
7. Specjalistyczny Fundusz Inwestycyjny Otwarty Telekomunikacji Polskiej

jointly hold 19,349,774 of Netia’s shares, representing 4.97% of the Netia’s share capital and entitling the holder thereof to exercise 19,349,774 votes, which represents 4.97% of the total number of votes at Netia’s general shareholders’ meeting.

Prior to this transaction, the above mentioned funds held 20,241,005 of Netia’s shares, which represented 5.20% of the Netia’s share capital and entitled to 20,241,005 votes representing 5.20% of the total number of votes in Netia.
