Information on acquisition of Netia's shares


WARSAW, Poland – May 22, 2007 – Netia SA (“Netia”) (WSE: NET), Poland’s largest alternative provider of fixed-line telecommunications services, today announced that on May 21, 2007 it received a notification from Novator Telecom Poland II S.a.r.l., with its seat in Luxembourg, 560 A, rue de Neudorf, L-2220 Luxembourg (“Novator”) informing that Novator exceeded the 27% threshold of the aggregate number of votes at Netia’s General Meeting of Shareholders.

According to the notification, as a result of purchases of Netia shares effected on the Warsaw Stock Exchange from May 23, 2006 to May 16, 2007, as of the notification’s date Novator holds 106,047,505 Netia shares, representing 27.25% of Netia’s share capital and entitling the holder thereof to exercise 106,047,505 votes, which represents 27.25% of the total number of votes at Netia’s General Meeting of Shareholders.

Prior to the above transactions, Novator held 98,243,602 Netia shares, which represented 25.34% of Netia’s share capital, and was entitled to 98,243,602 votes, representing 25.34% of the total number of votes at Netia’s General Shareholder Meeting.
