Appointment of a new management board member; share options granted under a key employee stock option plan


WARSAW, Poland – September 6, 2007 – Netia SA (“Netia” or the “Company”) (WSE: NET), Poland’s largest alternative provider of fixed-line telecommunications services announced that today its supervisory board appointed Mr. Piotr Buława, Sales Director, as member of the management board, effective immediately.

In addition, on September 6, 2007 Netia’s Supervisory Board granted to Mr. Buława 5,000,000 (five million) stock options authorizing him to subscribe for series K shares in accordance with the Netia Performance Stock Option Plan of June 28, 2002, as amended (see the press release of April 11, 2003). The grant is divided into three tranches: 2 million, 1.5 million and 1.5 million. The strike prices of the options equal for each tranche respectively: PLN 5.50, PLN 7.00 and PLN 8.25. The granted options shall expire on December 20, 2012.

Mr. Piotr Buława, 40, joined Netia as Sales Director on June 11, 2007. He has many years of experience in marketing and sales management in large corporations and a public company. Prior to his employment with Netia, he served as Marketing and Sales Director and member of the management board in Winterthur Życie TU SA (from 2006). From 2000 to 2005 he was a co-creator of a market success of Polfa Kutno SA, a public pharmaceutical company, at which he served as Sales Director. Earlier, he worked for over seven years in Procter and Gamble, Poland, in various managerial positions within marketing and sales areas. Mr. Buława graduated from the Gdańsk Technical University with a degree in Electrical Engineering. He also holds an MBA degree.
Mr. Buława does not conduct directly or through legal entities any activities that would compete with the activities of Netia or its subsidiaries. He is not a partner in civil law company or any partnership, nor a member of any authorities of any corporation or any other competitive legal entity. He has not been registered in the Non-Solvent Debtors Register kept pursuant to the National Court Register Act.
