Netia holds its shareholders’ meeting; appointment of new supervisory board members (45/2008)


WARSAW, Poland – September 9, 2008 – Netia S.A. (“Netia” or the “Company”) (WSE: NET), Poland’s largest alternative provider of fixed-line telecommunications services, today announced that its extraordinary shareholders’ meeting held on September 9, 2008 (the “EGM”) adopted resolutions concerning, among others, the merger of Netia with its wholly-owned subsidiary Netia Wimax SA, the establishment of a registered pledge on the Company’s enterprise to obtain external financing for the acquisition of Tele2 Polska Sp. z o.o., change of the Company’s Statutes and changes in the composition of the Company’s supervisory board.

The EGM appointed Messrs. Piotr Czapski and Kazimierz Marcinkiewicz to Netia’s supervisory board, effective as of the registration of changes to the Company’s Statutes.

The CVs of the newly elected supervisory board members are presented below.

Piotr Czapski - born in 1965; he graduated from the University of Washington, USA, with the B.Sc., M.Sc. and Ph.D. degrees in Electrical Engineering. From March 2005 to August 2008 he served as member of the management board of Netia SA and Netia’s Strategy and Business Development Director. Prior to commencement of his cooperation with Netia, Mr. Czapski worked at McKinsey & Company in Warsaw as a Principal (1997-2005); at Chrysler Corporation, USA, as the research engineer (1995 - 1997) and earlier at the University of Washington, Seattle, USA, in the position of research assistant (1990 - 1995). From September 2008, Mr. Czapski has joined leading Scandinavian private equity group EQT as partner and head of EQT’s office in Warsaw with responsibility for operations in the CEE countries.

Kazimierz Marcinkiewicz - born in Poland in 1959; holder of University Degree, Faculty of Mathematics-Physics-Chemistry, Wroclaw University - 1984, postgraduate Studies of Administration - Faculty of Law and Administration, University of Adam Mickiewicz, Poznan - 1992. He studied at the Bosch Foundation in Germany, the Faculty of Economics and Management, University of Szczecin and the International Visitor Program in USA. Mr. Marcinkiewicz started his business career started in 1982 as teacher, then he was curator of Education, director of Council of Teachers and vice-Minister of National Education from 1992 to 1993. He was the Member of Polish Parliament from 1997 to 2006, the Head of the Political Cabinet of the Prime Minister of Poland from 1999 to 2000. From 2005 to 2006 Kazimierz Marcinkiewicz was the Prime Minister of Poland and after this was the Mayor of Warsaw. From 2007 to 2008 he was the member of the Board of Directors of the European Bank for Reconstruction and Development where represented Poland, Bulgaria and Albania. Kazimierz Marcinkiewicz is presently the International Adviser to a major international investment bank.

Mr. Piotr Czapski as well as Mr. Kazimierz Marcinkiewicz, do not conduct directly or through legal entities any activities that would compete with the activities of Netia or its subsidiaries. They are not a partner in civil law company or any partnership, nor members of any authorities of any corporation or any other competitive legal entity. They have not been registered in the Non-Solvent Debtors Register kept pursuant to the National Court Register Act.
