Registration of share capital increase in Netia’s subsidiary InterNetia Sp. z o.o. (2/2009)


WARSAW, Poland – January 8, 2009 – Netia SA (“Netia”) (WSE: NET), Poland’s largest alternative provider of fixed-line telecommunications services, today announced that on January 7, 2009 it obtained information about the registration of the share capital increase in Netia’s wholly-owned subsidiary InterNetia Sp. z o.o. (the “Company”), effective December 30, 2008.

The Company’s share capital was increased from PLN 440,000 to PLN 8,440,000, i.e., by PLN 8,000,000, by way of issuing 16,000 new shares, PLN 500 par value per share, with the total nominal value of PLN 950,702,740. New shares were covered in cash.

Following the increase, the share capital of the Company amounts to PLN 8,440,000 and is composed of 16,880 shares, PLN 500 par value per share, entitling to a total of 16,880 votes at the Company’s shareholders’ meeting. Netia owns shares representing 99.9941% of the Company’s increased share capital and 99.9941% of the overall number of votes at the Company’s general shareholders’ meeting. Tele2 Polska Sp. z o.o., Netia’s wholly owned subsidiary, is the second shareholder of the Company, whose shares represent 0,0059% of the Company’s share capital and 0,0059% of votes at the general shareholders’ meeting.

The above share capital increase was made in connection with the acquisition by the Company of Air Bites Sp. z o.o., an operator of Ethernet networks (see Netia’s current report No. 73/2008 dated December 22, 2008).
