Information on purchase of Netia's shares (20/2009)


WARSAW, Poland – March 13, 2009 – Netia SA (“Netia”) (WSE: NET), Poland’s largest alternative provider of fixed-line telecommunications services, today announced that it received a notification from Pioneer Pekao Investment Management SA (the “Shareholder”, “PPIM”) that its ownership of Netia’s shares, held by the Shareholder on behalf of all of its clients as well as the investment funds in particular, increased above the threshold of 5% of the total number of votes at Netia’s general meeting of shareholders.

I.
According to the notification, as a result of the purchase of Netia’s shares on March 6, 2009, all PPIM’s clients jointly hold 34,364,998 of Netia’s shares, representing 8.83% of the Netia’s share capital and entitling the holder thereof to exercise 34,364,998 votes, which represents 8.83% of the total number of votes at Netia’s general shareholders’ meeting.

Prior to this transaction, PPIM’s clients held 807,330 of Netia’s shares, which represented 0.21% of the Netia’s share capital and entitled to 807,330 votes representing 0.21% of the total number of votes in Netia.

II.
Out of that, according to the notification, as a result of the purchase of Netia’s shares on March 6, 2009, the following investment funds:

  1. Pionieer Akcji Polskich Fundusz Inwestycyjny Otwarty
  2. Pionieer Aktywnej Alokacji Fundusz Inwestycyjny Otwarty
  3. Pionieer Fundusz Inwestycyjny Otwarty
  4. Pionieer Małych i Średnich Spółek Rynku Polskiego Fundusz Inwestycyjny Otwarty
  5. Pionieer Średnich Spółek Rynku Polskiego Fundusz Inwestycyjny Otwarty
  6. Pionieer Stabilnego Wzrostu Fundusz Inwestycyjny Otwarty
  7. Pionieer Zrównoważony Fundusz Inwestycyjny Otwarty
  8. Specjalistyczny Fundusz Inwestycyjny Otwarty Telekomunikacji Polskiej

jointly hold 33,500,000 of Netia’s shares, representing 8.61% of the Netia’s share capital and entitling the holder thereof to exercise 33,500,000 votes, which represents 8.61% of the total number of votes at Netia’s general shareholders’ meeting.

Prior to this transaction, the above mentioned funds held 343,203 of Netia’s shares, which represented 0.09% of the Netia’s share capital and entitled to 343,203 votes representing 0.09% of the total number of votes in Netia.
