Information concerning holdings of Netia's shares by a significant shareholder (11/2010)
WARSAW, Poland - April 16, 2010 - Netia SA ("Netia") (WSE: NET), Poland’s largest alternative provider of fixed-line telecommunications services, today announced that it received a notification from Pioneer Pekao Investment Management SA ("PPIM") that Pioneer Fundusz Inwestycyjny Otwarty ("Pioneer FIO"), a fund established by Pioneer Pekao Towarzystwo Funduszy Inwestycyjnych ("Towarzystwo"), an association of Pioneer Pekao investment funds, owns 19,484,821 of Netia’s shares, representing 5.005% of the Netia’s share capital and entitling the holder thereof to exercise 19,484,821 votes, which represents 5.005% of the total number of votes at Netia’s general shareholders’ meeting.
Pioneer FIO’s ownership interest in Netia’s shares resulted from the transformation of certain open investment funds into subfunds of Pioneer FIO as detailed below:
1. Pionieer Pieniężny Fundusz Inwestycyjny Otwarty fund was transformed into Pionieer Pieniężny subfund of Pioneer FIO fund;
2. Pionieer Oligacji Fundusz Inwestycyjny Otwarty fund was transformed into Pionieer Obligacji subfund of Pioneer FIO fund;
3. Pionieer Obligacji Plus Fundusz Inwestycyjny Otwarty fund was transformed into Pionieer Obligacji Plus subfund of Pioneer FIO fund;
4. Pionieer Stabilnego Wzrostu Fundusz Inwestycyjny Otwarty fund was transformed into Pionieer Stabilnego Wzrostu subfund of Pioneer FIO fund;
5. Pionieer Zrównoważony Fundusz Inwestycyjny Otwarty fund was transformed into Pionieer Zrównoważony subfund of Pioneer FIO;
6. Pionieer Aktywnej Alokacji Fundusz Inwestycyjny Otwarty fund was transformed into Pionieer Aktywnej Alokacji subfund of Pioneer FIO fund;
7. Pionieer Akcji Polskich Fundusz Inwestycyjny Otwarty fund was ransformed into Pionieer Akcji Polskich subfund of Pioneer FIO fund;
8. Pionieer Małych i Średnich Spółek Rynku Polskiego Fundusz nwestycyjny Otwarty fund was transformed into Pionieer Małych i rednich Spółek Rynku Polskiego subfund of Pioneer FIO fund.
These transformations were effected on April 9, 2010 and as of that date Pioneer FIO entered into all rights and obligations of the transformed funds.
Prior to these transformations, Pioneer FIO held nil Netia shares, which represented 0.00% of the Netia’s share capital and entitled to nil votes representing 0.00% of the total number of votes in Netia.
In addition, Netia informs that the previous notification by PPIM, which referred to holdings of Netia shares by all clients of PPIM, was filed on August 4, 2009 (see current report No. 39/2009).
