Appointment of Netia’s management board members for a next five-year term (5/2011)



WARSAW, Poland – January 31, 2011 – Netia SA (“Netia” or “Company”) (WSE: NET), Poland’s largest alternative provider of fixed-line telecommunications services, announced today that its supervisory board, acting based on par. 18 item 2 of Netia’s Statute, unanimously appointed Messrs. Jon Eastick and Tom Ruhan for positions of the Company’s management board members for a next five-year term, effective as of the date of Netia’s general shareholders meeting approving the financial statements for 2010.

Mr. Jon Eastick, Chief Financial Officer, 44, was previously appointed member of the management board of Netia effective April 5, 2006 (see Netia’s press release no 34/2006 dated April 6, 2006). Prior to commencement of his cooperation with Netia, Mr. Eastick spent five years as Chief Financial Officer of PTC Sp. z o. o. Between 1998 and 2001 he was Country CFO of Lucent Technologies Poland SA. From 1995 to 1998, Mr. Eastick worked at PTK Centertel Sp. z o. o. as Strategy and Financial Planning Manager. Mr. Eastick started his career in 1989 and spent almost six years with Arthur Andersen, working in London and later in Warsaw. He graduated from the London School of Economics and is a UK Qualified Chartered Accountant.

Mr. Eastick does not conduct directly or through legal entities any activities that would compete with the activities of Netia or its subsidiaries. He is not a partner in civil law company or any partnership, nor a member of any authorities of any corporation or any other legal entity that competes with the activities of Netia. He has not been registered in the Non-Solvent Debtors Register kept pursuant to the National Court Register Act.

Mr. Tom Ruhan, Chief Legal and Aquisision Officer, 47, was previously appointed member of the management board of Netia effective April 5, 2006 (see Netia’s press release no 34/2006 dated April 6, 2006). He has been the Chief Legal Officer of Netia since March 2003. Until his appointment to the management board, Mr. Ruhan was also Netia’s commercial proxy. He has supervised the completion of the financial restructuring of Netia, the merger of 19 operating companies of the Netia Group, the conversion of Netia’s license fees obligations and nearly 40 acquisitions (including RST El-Net SA, ProFuturo SA, Tele2 Polska Sp. z o.o. and over 30 ISPs) followed by their merger in the Netia Group. Prior to his employment with Netia, Mr. Ruhan, worked at Wardyński & Partners for 12 years in various positions, being Of Counsel before moving to Netia. During his 12 years there Mr. Ruhan advised on a number of privatistations including, amongst others, Telekomunikacja Polska SA and also worked on the financial restructuring of Netia. Mr. Ruhan graduated in law from the University of Warwick, UK.

Mr. Ruhan is the Chairman of the Board of Directors of the European Competitive Telecommunications Association (ECTA). He is also a Deputy Chairman of SOT KIGEiT (Telecommunications Operators Section of the Polish Chamber of Commerce for Electronics and Telecommunications) for a second term of office and is a member of the Arbitration Committee (Komisja Rozjemcza) of KIGEiT. In addition, Mr. Ruhan serves on the Board of Trustees of the Foundation 10th April (Fundacja 10 Kwietnia), associating companies from various business sectors, aimed at granting financial help to children of the victims of the plane crash in Smolensk and children of policemen and soldiers who have died on duty.

Mr. Ruhan does not conduct directly or through legal entities any activities that would compete with the activities of Netia or its subsidiaries. He is not a partner in civil law company or any partnership, nor a member of any authorities of any corporation or any other competitive legal entity. He has not been registered in the Non-Solvent Debtors Register kept pursuant to the National Court Register Act.
