The first notice regarding the merger of Netia SA and CDP Netia sp. z o.o. (formerly Crowley Data Poland sp. z o.o.) (29/2012)
This notice is made in connection with the planned merger of Netia SA and CDP Netia sp. z o.o. (formerly Crowley Data Poland sp. z o.o.). The merger is made in accordance with the Plan of Merger announced in the current report no. 22/2012 dated March 29, 2012 and in the Court and Economic Monitor (Monitor Sądowy i Gospodarczy) no. 69 dated April 6, 2012.
Netia SA in accordance with the article 504 of the Commercial Companies Code (“CCC”) hereby notify its shareholders (the first notice) about the planned merger, pursuant to article 492 § 1 point 1 of the CCC in connection with the article 515 § 1 of the CCC, through a transfer of all the assets of CDP Netia sp. z o.o. to Netia SA.
The documents referred to in article 505 § 1 of the CCC will be available from April 23, 2012 to the day of adoption of resolutions on the merger, in Netia’s offices in Warsaw, 7A Tasmowa Street, on weekdays from 10.00 to 16.00 CET.
Netia SA in accordance with the article 504 of the Commercial Companies Code (“CCC”) hereby notify its shareholders (the first notice) about the planned merger, pursuant to article 492 § 1 point 1 of the CCC in connection with the article 515 § 1 of the CCC, through a transfer of all the assets of CDP Netia sp. z o.o. to Netia SA.
