Changes to Netia’s Management Board (9/2015)


1. The Management Board of Netia S.A. (hereinafter referred to as “Netia” or “Company”) informs that on 23rd March 2015 Mr. Adam Sawicki resigned from his position of the President and the member of the Company’s Management Board effective as of end of 31st March 2015, as a result of a signing an agreement regarding termination of Mr. Sawicki’s employment contract with Netia of 22nd April 2014. Above information changes information from the current report no. 3/2015 of 30 January 2015 on Mr. Sawicki’s resignation from the position of the President and member of Netia’s Management Board as of end of 31 July 2015. 

2. The Management Board of Netia S.A. informs that on 23rd March 2015 Netia’s Supervisory Board appointed Mr. Paweł Szymański, the current Management Board Member – Chief Financial Officer, as President of the Management Board of the Company, effective 1st April 2015. 

Mr. Paweł Szymański, 43, has wide experience in Finance. During his professional career he served as CEO and CFO in the leading domestic and regional companies. He also acquired sound knowledge of global financial markets when working for the largest investments banks both in Warsaw and London.

A graduate of Warsaw School of Economics, from 1997 to 2003 he worked for Schroders and Citigroup in London. On his return to Poland in 2003, he was appointed CEO of Bank Handlowy’s brokerage arm. From 2004 to 2007, he ran PKN Orlen's Finance Division, firstly as Management Board member and subsequently as Vice-President. From 2007 to 2008, he worked at CTL Logistics as Vice-President responsible for Finance. Between 2010 and 2013, he was actively involved in the restructuring of RUCH, initially as Vice-President for Financial Affairs, and from 2012 to 2013 as CEO. Prior to agreeing to join Netia Mr. Szymański was Vice-President and CFO in Marvipol S.A. Since September 2014 he has been Management Board Member – Chief Financial Officer of Netia.

Mr. Szymański does not conduct directly or through legal entities any activities that would compete with the activities of Netia or its subsidiaries. He is not a partner in civil law company or any partnership, nor a member of any authorities of any corporation or any other legal entity that competes with the activities of Netia. He has not been registered in the Non-Solvent Debtors Register kept pursuant to the National Court Register Act. 

3. The Management Board of Netia informs that on 23rd March 2015 Netia’s Supervisory Board appointed Mr. Cezary Chałupa, the current Director General for Business Customers’ Market of Netia, as Management Board Member of B2B Department, effective 1st April 2015.

Mr. Cezary Chałupa, 41, joined the Company in October 2014 and is responsible for Netia’s B2B Unit. He has an extensive managerial experience in Sales and Business Development. Prior to joining Netia he spent four years as Head of Sales of GTS Poland. Between 2003 and 2010 he worked at Orange Polska (previously PTK Centertel Sp. z o.o.) on various senior managerial positions in sales and business development departments, including as Head of Corporate Sales (from 2008 to 2010) and Head of Key Account Department (from 2007 to 2008). Earlier he worked at Prokom SA as Account Manager (from 2002 to 2003) and at Comarch SA as Sales Director (from 2000 to 2002) and Key Account Manager (from 1999 to 2000). Mr. Chałupa graduated from Economic University in Poznań. He also holds a post graduate diploma in Banking from WSB School of Banking in Poznań and an MBA from Carlson School of Management, University of Minnesota/Warsaw School of Economics.

Mr. Chałupa does not conduct directly or through legal entities any activities that would compete with the activities of Netia or its subsidiaries. He is not a partner in civil law company or any partnership, nor a member of any authorities of any corporation or any other legal entity that competes with the activities of Netia. He has not been registered in the Non-Solvent Debtors Register kept pursuant to the National Court Register Act.

4. The Management Board of Netia informs that on 23rd March 2015 Netia’s Supervisory Board appointed Mr. Tomasz Szopa, the current Director General for Individual Customers’ Market of Netia, as a Management Board Member of B2C Department, effective 1st April 2015.

Mr. Tomasz Szopa, 45, joined the Company in October 2014 and is responsible for Netia’s B2C Unit. He has many years of experience from telecommunications industry while his sales and managing skills have been crafted in the FMCG sector. 

From 2010 to 2012 Mr. Szopa served as Market Director, B2C-SOHO and Individual Client, in Polska Telefonia Komórkowa Centertel Sp. z o.o. for the entire Telekomunikacja Polska Group. Previously, from 2001 to 2005, he worked in Polska Telefonia Komórkowa Centertel Sp. z o.o. as Director of the Office for Own and Franchise Salons and Director of the Office for Sales Strategy Development. From 2005 to 2006 he was Director of Managing B2B-SOHO Channels and Individual Customers in Telekomunikacja Polska SA. From 2007 to 2010 Mr. Szopa was self-employed in the following entities: Ogólnopolskie Centrum Finansowo Ubezpieczeniowe S.K.A., GRP Recar Sp. z o.o. oraz Get Sp. z o.o. From 1995 to 2001 he worked in Frito-Lay Poland Sp. z o.o. as National Manager for Key Customers, Manager of the South Region and National Manager for Local Networks. From 1994 to 1995 he was Regional Sales Representative in Zywiec SA. Before starting his co-operation with Netia Mr. Szopa served as Management Board member in Hoven Sp. z o.o., a provider of integrated solutions in solar technology and renewable energy sources. 

Mr. Szopa graduated in Politics, Social-Administrative Politics from Silesian University. He also completed post-graduate studies in Finance for Management from Silesian University.

Mr. Szopa does not conduct directly or through legal entities any activities that would compete with the activities of Netia or its subsidiaries. He is not a partner in civil law company or any partnership, nor a member of any authorities of any corporation or any other legal entity that competes with the activities of Netia. He has not been registered in the Non-Solvent Debtors Register kept pursuant to the National Court Register Act.
