Dismissal of the CEO and delegation of a Member of the Supervisory Board to temporarily perform the duties of CEO (39/2015)


The Management Board of Netia S.A. (hereinafter referred to as “Netia” or “Company”) informs that on June 22, 2015 Netia’s Supervisory Board dismissed Mr. Paweł Szymański, the President of the Management Board of the Company (CEO), from the Management Board of the Company, effective as of the day of adopting the resolution of Netia’s Supervisory Board on the dismission. 

Simultaneously, Netia’s Supervisory Board, acting pursuant to art. 383 § 1 of the Code of Commercial Companies and Partnerships, delegated on June 22, 2015 Mrs. Boguslawa Matuszewska, member of the Company’s Supervisory Board, to temporarily perform the duties of the President of the Management Board of Netia (CEO). The delegation will be effective from July 6, 2015 until further recall, however no longer than for a three month period, i.e., until October 6, 2015.

Ms. Matuszewska does not conduct directly or through legal entities any activities that would compete with the activities of Netia or its subsidiaries. She is not a partner in civil law company or any partnership, nor a member of any authorities of any corporation or any other legal entity that competes with the activities of Netia. She has not been registered in the Non-Solvent Debtors Register kept pursuant to the National Court Register Act.

§ 5 item 1 point 21 and 22 in connection with § 27 and § 28 of the Regulation of the Minister of Finance dated 19 February 2009 on current and periodic information published by issuers of securities and conditions for recognising as equivalent the information required by law of a non-member state (consolidated text: Journal of Law dated 2014, pos. 133).
