WARSAW, Poland. – June 12, 2003 - Netia Holdings S.A. (“Netia”) (WSE: NET), Poland’s largest alternative provider of fixed-line telecommunications services, announced today that its ordinary shareholders' meeting held on June 12, 2003 adopted resolutions concerning: (i) the approval of the management board’s reports on Netia and the Netia group for 2002, the stand-alone financial statements of Netia and the consolidated financial statements of the Netia group for 2002; (ii) coverage of losses for 2002 and accumulated losses from previous periods from Netia’s other reserve capital and share premium; (iii) the acknowledgment and approval of the actions taken by members of the supervisory board in 2002; (iv) the acknowledgment and approval of the actions taken by members of the management board in 2002, except for proposed resolutions concerning two former members of Netia’s management board, which were not adopted by the general shareholders meeting; (v) the amendments to the “Rules of Remunerating the Supervisory Board Members”; (vi) the remuneration for members of the supervisory board (the Chairman of Netia’s supervisory board gave up his right to receive remuneration prospectively); (vii) the change of the Netia’s name to “Netia S.A.”, and (viii) non-material amendment of par. 5 of Netia’s statute.
