Netia acquires a part of former Aster’s network from UPC Polska


Netia signed an agreement* with UPC Polska to acquire a part of former Aster cable operator’s network reaching 446,000 households in Warsaw and Krakow, which was classified for resale according to the decision of the President of the Office of Competition and Consumer Protection (UOKiK) as of September 5, 2011 approving the acquisition of Aster cable operator by UPC Polska. The transaction increases the reach of Netia’s proprietary network by 17% to 2.8 million households. The transaction will have no material impact on Netia’s published financial guidance for 2013.

Netia will acquire from UPC Polska a part of the former Aster’s network in Warsaw and Krakow and gain a cable network reaching a total of 446,000 homes passed and business locations passed. The transaction will allow Netia to strengthen its infrastructural market position in these regions of the Residential market segment where, up to date, it did not hold a strong footprint.

- The acquisition of such a major part of former Aster’s network, and on such attractive markets, is the next important step in execution of Netia’s strategy, which is based on developing the on-line solutions focusing on our own networks – said Mirosław Godlewski, Netia’s Chief Executive Officer.

- A cable network with nearly half a million of homes in reach represents also an excellent base for extracting synergies from consolidation activities, not pursued before by Netia in this market segment – added Miroslaw Suszek, Netia’s Chief Operating Officer.

The finalization of the transaction is subject to, among others, obtaining consent from the President of the Office of Competition and Consumer Protection. Netia was shortlisted as a potential acquirer of the network among the entities approved by the UOKiK.

* The agreement does not constitute a material agreement as defined by the Regulation of the Minister of Finance dated 19 February 2009 on current and periodic information to be published by issuers of securities and conditions for recognition as equivalent of information whose disclosure is required under the laws of a non-member state. In Netia’s judgment, the conclusion of the transaction does not constitute confidential information as defined by art. 154 of the Act on Trading In the Financial Instruments dated 29 July 2005.
