Professional CV of a candidate to Netia’s supervisory board

Netia’s management board published below the professional CV of a candidate to Netia’s supervisory board that was received by the Company:

Mr. Andrzej Abramczuk graduated in Law and Administration from the Warsaw University in 1997. He also graduated from doctoral studies run by Legal Science Institute of PAN (Polish Academy of Sciences) as well as postgraduate studies run by Higher School of Insurance and Banking and City University Business School of London.

He specializes in legal and strategic counseling for entities operating in the telecommunications sector.

From 2001 to 2006 he worked for the GTS Polska group companies where he was responsible for all legal issues connected with GTS Polska’s activities, in particular within the area of telecommunications. During that period he served, among others, as legal department director and member of the management board of GTS Polska.
Following operational merger of GTS Polska with Energis Polska, he was member of the managerial group, head of the merged legal department and president of the management board of Cel Polska.

From 2006 to 2009 he worked for P4, a new mobile operator (operating under the Play brand), in connection with preparing and starting P4’s mobile services, as well as obtaining financing by P4. During his term, he hold a position of legal department director and member of the management board of 3G Network Services, a company constructing a telecommunications network for P4.

He advised on several of the largest M&A projects in the Polish telecommunications sector in recent years, such as the acquisition of Energis Polska by GTS Polska and the acquisition of Germanos Polska by P4, as well as on mergers within the GTS Polska group and P4.

From 2004 to 2006 he was a member of statutory authorities of the Polish Chamber of Information Technology and Telecommunications (PIIT).

In the second half of 2009 he started cooperation with a law office of Chajec, Don-Siemion & Żyto, where, within a telecommunications practice, he is responsible for advising companies from the telecommunications sector. Simultaneously, since April 2010, he holds a position of a commercial proxy in Nova Capital.

Beside his practice within the telecommunications sector, he was also gaining professional experience from working for insurance associations and in the insurance department of CMS Cameroon McKenna law office.

Married, two sons.

In his free time he works for local social organizations, he is interested in diving, horse riding and photography.

 

In accordance with the statement presented to the Company, Mr. Abramczuk does not conduct directly or through legal entities any activities that would compete with the activities of Netia. He is not a partner in civil law company or any partnership, nor a member of any authorities of any corporation or any other competitive legal entity. He has not been registered in the Non-Solvent Debtors Register kept pursuant to the National Court Register Act.

Mr. Abramczuk meets the criteria of an independent member in accordance with Netia’s statute and the corporate governance rules adopted by the Warsaw Stock Exchange, however he does not have qualifications in accounting and finance which allows to appoint him to the audit committee.
