Rules of Remunerating the Supervisory Board Members

§ 1
General Provisions

Each Supervisory Board Member is granted remuneration for performing the duties.

§ 2
Cash Remuneration, Reimbursement of Costs

  1. Each member of the Supervisory Board shall receive the monthly remuneration of PLN 6,000, with reservation that the Chairperson of the Supervisory Board shall receive an additional monthly remuneration of PLN 2,000 and the Vice Chairperson of the Supervisory Board shall receive an additional monthly remuneration of PLN 1,000.
  2. No additional remuneration is granted to the Supervisory Board Members for their duties performed under the Supervisory Board Committees.
  3. The cash remuneration will be paid by the Company in arrears on the last day of the month to the bank account of a Supervisory Board Member provided to the Company in written.
  4. Members of the Supervisory Board are entitled to the reimbursement of documented and justified costs directly in connection with participation in works of the Supervisory Board.
§ 3
Final Provisions

Any amendment of these Rules shall require a resolution of the Company’s General Meeting.

Mr. Zbigniew Jakubas, Chairman of Netia's Supervisory Board, resigned from his remunaration for performing duties on the Board from August 1, 2014 to December 31, 2014.
